 COVINGTON FUND II INC. NOTICE OF ANNUAL MEETING OF SHAREHOLDERS 
  
 The Sponsor 
  
  The Canadian Police Association (the "Sponsor") is the sponsor of 
 the Fund pursuant to an agreement with the Fund dated September 20, 1999 
 (the "Sponsor Agreement"). 
  
  The Sponsor Agreement provides that the Sponsor is to 
 receive an annual fee of 0.3% of the Net Asset Value of the Fund with 
 respect to the Fund's share of the first $200,000,000 of combined assets of 
 the Fund, Covington Fund I Inc. and Covington Strategic Capital Fund Inc., 
 also labour sponsored investment fund corporations sponsored by the sponsor, 
 and a rate of 0.2% of the Net Asset Value of the Fund with respect of the 
 Fund's share of any combined assets in excess of $200,000,000, provided that 
 all assets of Covington Fund I Inc. shall be included in the first 
 $200,000,000 of the combined assets. 
  
  In the Sponsor Agreement, the Sponsor has represented to the Fund 
 that it will use all fees received by it from the Fund to fund certain 
 public interest programs, including the National Justice Network, the 
 Canadian Resource Centre for Victims of Crime and ongoing efforts related to 
 public safety and the reform of the justice system in Canada. 
  
  During the year ended August 31, 2006, total fees of $403,000 were 
 paid or payable to the Sponsor pursuant to the Sponsor Agreement. 
  
  The head office of the sponsor is located at 141 Catherine St., 
 Suite 100, Ottawa, Ontario, K2P 1C3. 
  
  This is were the police get heir gun toting preferences established 
 by reducing your rights to counteract the immediate situation regardless of 
 who is at fault, or even if an incident is being created. 
  
  The "Canadian Police Association " has always, will always be,.... 
 definitely into disarming you. 
  
  People who report being "Victims of Crime" are usually found in a 
 much greater peril after doing so....the perps don't like to be rated out, 
 and you don't have Personal protection because the police will disarm you. 
  
  That and others has always been a good two faced attitude the Guv't 
 puts you at fault in...because they have more guns than you. 
  
  All these *public interest programs* like the (National Justice 
 Network) are just a police only make work program for themselves where you 
 pay them,..in tax and drives, to crucify yourself.
